Terms and Conditions
Last updated: 31 October 2026
Scope
These terms apply to quotations, order confirmations and sales of molecular sieve and related products (“goods”) by Shenqiu County Xiarui Import & Export Trading Co., Ltd. (沈丘县霞睿进出口贸易有限公司) (“we”, “us”) to business buyers (“you”). We sell to companies and other organisations for use in their own operations or for resale. We do not sell to consumers, and consumer distance-selling rules do not apply.
Enquiries, quotations and orders
- A quotation is an invitation to order, not an offer, unless it states a validity period — in which case it is valid until that date and subject to the goods still being available.
- An order becomes binding only when we issue a written order confirmation (pro forma invoice or sales confirmation) that states grade, quantity, packing, price, Incoterms, payment terms and delivery period.
- Your own purchase terms apply only if we accept them in writing.
Specification and tolerances
- The specification of each grade is stated in the technical data sheet current at the date of the order confirmation.
- The values actually delivered are those reported on the certificate of analysis for the shipped lot. Production tolerances: the tolerances stated on the TDS for the grade; where the TDS is silent, the usual industry tolerance of ±5% on adsorption capacity and ±0.05 g/ml on bulk density applies.
- You are responsible for confirming that the grade is suitable for your process. We give technical recommendations in good faith on the data you supply, but the process design and its operating conditions remain yours.
Price, payment and Incoterms
- Prices are net, in US dollars (USD), and exclude taxes, duties, freight and insurance unless stated otherwise.
- Incoterms are as stated on the order confirmation and are interpreted according to the Incoterms rules in force at that date.
- Payment: T/T: 30% deposit with the order and 70% balance before shipment. L/C at sight is accepted for full container loads. If payment is late we may suspend production and delivery, and charge interest at 1% per month.
- Title passes on payment in full. Risk passes as stated by the agreed Incoterm.
Delivery
- Delivery periods are counted from the later of order confirmation, receipt of any deposit, and completion of any technical details we need.
- Delivery periods are estimates given in good faith. We are not liable for delay caused by events outside our control (see Force majeure).
- Where a delivery period is essential to you, it must be agreed in writing as a fixed term.
Inspection and claims
- Inspect the goods on arrival and check the lot number against the certificate of analysis.
- Claims for shortage, damage or non-conformity must reach us in writing within 30 days of arrival, with photographs and, where relevant, a sample from the lot. Claims after that period cannot be accepted, because the goods may have been handled or stored by then.
- Where a claim is accepted, we replace the non-conforming goods or credit the affected value. This is your exclusive remedy for non-conformity.
Warranty and liability
- We warrant that the goods meet the specification on the certificate of analysis for the lot delivered. We give no other warranty, express or implied, including any warranty of fitness for a particular purpose.
- Our total liability for any claim arising from an order is limited to the invoice value of the goods concerned.
- We are not liable for indirect or consequential loss, including lost production, lost profit, plant downtime, or the cost of removing and replacing installed adsorbent.
- Nothing in these terms limits liability that cannot be limited by law.
Force majeure
Neither party is liable for failure to perform caused by events beyond reasonable control, including natural disaster, epidemic, war, riot, government action, export or import restriction, energy or raw material shortage, transport disruption, or failure of suppliers or carriers. We will tell you promptly and may extend or cancel the affected part of the order.
Export and sanctions compliance
You warrant that you will not resell or re-export the goods in breach of applicable export control or sanctions law, and that you will provide any end-use information required for export clearance.
Confidentiality
Prices, specifications and technical information we exchange are confidential and are not disclosed to third parties, except to your own advisers or as required by law.
Governing law and disputes
These terms and any order are governed by the law of the People’s Republic of China. Disputes are finally settled by arbitration at Zhengzhou Arbitration Commission in Zhengzhou, in English, by one arbitrator(s). The arbitral award is final and binding on both parties.
